Terms of Service

These Terms of Service ("Terms") govern your access to and use of the content writing services provided by Billie Nordmeyer (referred to as "Writer," "I," "me," or "my"). By engaging the Writer for services, you ("Client" or "you") agree to be bound by these Terms.

1. Services Provided

The Writer offers professional content creation services, primarily focusing on marketing content for organizations focused on serving the for-profit landscape in the business, finance, technology, and artificial intelligence sectors. Services may include, but are not limited to, blog posts, website copywriting, social media posts, ebooks, white papers, guides, press releases, and other strategic content as agreed upon in a separate Statement of Work (SOW) or project proposal.

2. Client Responsibilities

2.1. The Client agrees to provide all necessary information, resources, and access (e.g., brand guidelines, target audience information, product details, subject matter expert interviews) required for the Writer to complete the services in a timely manner.

2.2. The Client is responsible for providing timely feedback and approvals at designated stages of the project. Delays in feedback or approvals may impact project timelines.

2.3. The Client warrants that any information or materials provided to the Writer do not infringe upon the intellectual property rights or other rights of any third party.

3. Payment Terms

3.1. Pricing: Project fees will be determined on a per-project basis, as outlined in a specific SOW or project proposal.

3.2. Payment Schedule: A [e.g., 50%] upfront deposit of the total project fee is required before work commences. The remaining balance will be due upon completion of the project or at agreed-upon milestones, as specified in the SOW.

3.3. Payment Methods: Accepted payment methods will be detailed in the invoice.

3.4. Late Payments: Invoices not paid within [e.g., 15] days of the due date may be subject to a late fee of [e.g., 5% per month or $50] or project suspension until payment is received.

3.5. Refunds: All deposits are non-refundable. Refunds for work partially completed will be determined on a case-by-case basis, factoring in work performed up to the point of cancellation.

4. Project Process & Revisions

4.1. Process: Projects typically involve a discovery phase, research, outlining, initial drafting, client review, and finalization. Specific steps will be detailed in the SOW.

4.2. Revisions: The project fee includes [e.g., two (2)] rounds of revisions based on the initial project brief and client feedback. Additional revisions requested by the Client beyond the agreed-upon number, or revisions due to a change in scope from the original brief, may incur additional charges at the Writer's standard hourly rate of [e.g., $X/hour].

4.3. Scope Changes: Any significant changes to the project scope, deliverables, or timeline requested by the Client after project commencement must be submitted in writing and may result in an adjustment to the project fee and/or timeline, agreed upon by both parties.

4.4. Approval: The Client's final approval of content signifies acceptance of the work.

5. Intellectual Property (IP)

5.1. Upon receipt of full and final payment for the services, the Client will own the full and exclusive copyright and all other intellectual property rights to the final written content delivered by the Writer, unless otherwise specified in the SOW.

5.2. The Writer retains the right to use portions of the completed work for portfolio and promotional purposes (e.g., on my website or in marketing materials), unless explicitly restricted by a separate Non-Disclosure Agreement (NDA) or prior written agreement with the Client.

6. Confidentiality

The Writer agrees to keep all Client-provided information, project details, and proprietary data confidential and will not disclose it to any third party without explicit written consent from the Client, unless required by law.

7. Limitation of Liability

The Writer provides services with reasonable care and skill. However, the Writer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from the use or inability to use the services. The Writer’s total liability shall not exceed the total fees paid by the Client for the specific project from which the liability arose. The Client is solely responsible for the legal compliance and accuracy of the content after final approval.

8. Warranties

The Writer warrants that all content provided will be original (unless otherwise agreed upon for repurposed content), free of plagiarism, and professionally written.

9. Termination

9.1. Either party may terminate the project or services with [e.g., 7] days' written notice if the other party breaches any material term of these Terms and fails to cure such breach within that notice period.

9.2. In the event of termination by the Client before project completion, and without cause, the Client agrees to pay for all work completed up to the date of termination at the agreed-upon rate, plus any non-refundable deposits.

10. Governing Law & Dispute Resolution

10.1. These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

10.2. Any disputes arising under these Terms shall first be resolved through good-faith negotiation between the parties. If negotiation fails, the parties agree to consider mediation before pursuing litigation.

11. Changes to Terms

The Writer reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Writer's website. Your continued use of the services after such modifications constitutes your acceptance of the revised Terms.
